1. Acceptance of Terms

By accessing or using the Miradoris platform, website, APIs, or any associated services (collectively, the "Service") operated by Lobirus LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, whether as individuals or on behalf of an organization. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Miradoris is a software-as-a-service platform that provides operational intelligence for physical environments. The Service includes tools for spatial ontology management, data mapping, AI workflow orchestration, and coordination of autonomous systems and field operations. Features and functionality may change over time as we continue to develop and improve the platform.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

To access certain features of the Service, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein
  • Introduce any viruses, trojans, worms, or other malicious or harmful code
  • Use the Service to transmit any unsolicited or unauthorized advertising, promotional materials, spam, or similar solicitation
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Resell, sublicense, or redistribute access to the Service without prior written consent
  • Use automated systems, including bots, scrapers, or crawlers, to access the Service beyond what is permitted by our APIs

5. Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is and remains the exclusive property of Lobirus LLC and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws.

The Miradoris name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Lobirus LLC. You may not use such marks without our prior written permission.

You retain ownership of any data you submit to the Service ("User Data"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display your User Data solely as necessary to provide and improve the Service.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Lobirus LLC does not warrant that the Service will function uninterrupted, secure, or error-free, that defects will be corrected, or that the results obtained from the use of the Service will be accurate or reliable.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOBIRUS LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the amount you paid us, if any, during the twelve (12) months preceding the claim.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time by contacting us at support@miradoris.com. Upon termination, we will make reasonable efforts to delete your account data within 30 days, unless retention is required by law or for legitimate business purposes as described in our Privacy Policy.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the jurisdiction where Lobirus LLC is incorporated, and you consent to personal jurisdiction and venue in such courts.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through informal negotiation shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, by posting the updated Terms on this page and updating the "Last updated" date above.

Your continued use of the Service after such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.
